1. Scope
These Terms apply to the website, free diagnostic tools, advertising, tracking, web flow, AI, automation, consulting, audit, implementation, and related services provided by 株式会社 福IT Solutions / HOOK IT SOLUTIONS Co., Ltd. ("HOOK IT").
2. Services
HOOK IT may provide services including ad improvement, Meta advertising support, Pixel / CAPI / GA4 / GTM tracking review, landing page and form flow improvement, AI and automation implementation support, reporting design, and business-flow planning. The specific scope, timeline, deliverables, and fees are defined in individual quotations, order forms, service agreements, or written confirmations.
3. No Guarantee of Results
HOOK IT does not guarantee specific advertising results, CPA, ROAS, revenue, inquiry volume, measurement accuracy, AI implementation outcomes, or any other particular result. Outcomes may vary depending on ad platforms, third-party tools, user behavior, market conditions, product or service quality, sales response, and other factors.
4. Client Responsibilities
The client is responsible for providing accurate information, account access, analytics permissions, creative assets, approvals, payment or form integration information, CRM access, and other materials reasonably necessary for service delivery. HOOK IT is not responsible for delays or performance impact caused by missing information, inaccurate information, insufficient permissions, or delayed approvals.
5. Tracking and Analytics Limitations
Measurement values from Pixel, CAPI, GA4, GTM, ad platforms, server-side tracking, forms, CRM systems, and related tools may differ due to platform specifications, browser restrictions, cookie limitations, consent settings, redirects, platform updates, or implementation conditions. CAPI status and event deduplication cannot be fully verified from an external URL check alone.
6. AI and Tool Output Limitations
AI outputs, diagnostic tools, automation tools, reports, and recommendations are supportive information based on the available inputs and data. They are not a substitute for professional advice in legal, tax, medical, financial, investment, or other specialized matters.
7. Fees and Payment
Fees, payment methods, and payment timing are defined on the relevant service page, application screen, quotation, invoice, or individual agreement. If payment is delayed, HOOK IT may suspend or postpone service delivery.
8. Prohibited Uses
The client must not use the services for unlawful acts, conduct contrary to public order, unauthorized access, infringement of third-party rights, submission of false information, advertising that violates platform policies, or any act that harms HOOK IT or a third party.
9. Intellectual Property
Unless otherwise agreed in writing, materials, templates, code, designs, know-how, diagnostic logic, and proposals created by HOOK IT remain the property of HOOK IT or the applicable rights holder. Materials, trademarks, accounts, and existing content provided by the client remain the property of the client or the applicable rights holder.
10. Confidentiality
HOOK IT and the client will not disclose non-public information learned through the services to third parties without prior consent, except where required by law, shared with professional advisors or subcontractors to the extent necessary, or already publicly known.
11. Third-party Services
The services may use or interact with third-party services such as Meta, Google, Stripe, Calendly, Netlify, analytics tools, advertising platforms, and email or inquiry management tools. HOOK IT is not responsible for impact caused by specification changes, outages, terms changes, account restrictions, or other conditions of third-party services, except where attributable to HOOK IT.
12. Suspension and Termination
If the client violates these Terms or an individual agreement, delays payment, or if HOOK IT reasonably determines that continued service delivery is difficult, HOOK IT may suspend or terminate all or part of the services.
13. Disclaimer
HOOK IT is not liable for damages caused by natural disasters, communication failures, third-party service outages, platform specification changes, account suspension, ad review decisions, changes in laws or platform policies, or other events beyond HOOK IT's reasonable control.
14. Limitation of Liability
Except in cases of willful misconduct or gross negligence, HOOK IT's liability is limited to the amount paid by the client to HOOK IT during the most recent three months. This limitation does not apply where prohibited by applicable law.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any dispute related to these Terms or HOOK IT's services will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
16. Language
If there is any inconsistency between the Japanese and English versions, the Japanese version prevails.
